All fees are exclusive of taxes and other government charges, which are your responsibility. Payment terms are specified during the purchase process. We reserve the right to change our fees with reasonable notice.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVERIFY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF EVERIFY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Everify and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

10. Termination

We may suspend or terminate your access to the Services at any time, for any reason, without notice. You may terminate your account at any time by contacting us.

Upon termination:

• Your right to access and use the Services will immediately cease
• We may delete your account information and any content associated with your account
• Provisions of these Terms that by their nature should survive termination will survive

11. Changes to Terms

We may revise these Terms from time to time. The most current version will always be posted on our website. If we make changes that we believe materially impact your use of the Services, we will notify you via email or through the Services.

By continuing to use the Services after those changes become effective, you agree to the revised Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware.
